West Corporation, a leading provider of technology-driven communication solutions, today announced the completion of its acquisition of HyperCube LLC.</p>
<p> HyperCube was founded in 2005 and is a premier provider of local and national tandem services in the middle mile to carriers throughout the United States.  HyperCube leverages its proprietary customer traffic information system, sophisticated call routing and control facility to provide tandem interconnection services to the competitive marketplace, including wireless, wire-line, cable telephony and Voice over Internet Protocol (VoIP) companies. </p>
<p> With the closing of this transaction, West now operates a carrier grade communications network that attains CLEC certifications and capabilities nationwide. This acquisition will also allow direct connectivity of West’s voice application and service platforms to the nation’s largest carriers.</p>
<p>HyperCube supports the merging of traditional telecom, mobile and IP technologies to service providers and enterprises.  By leveraging HyperCube, West will further enable its IP network capabilities across its various technologies and solutions. </p>
<p> The purchase price was approximately $76.6 million.  HyperCube’s results will now be included with West’s Communication Services operating segment.</p>

<p>Founded in 2005 and backed from its inception by Kamine Credit Corporation, Annex Capital and Chambers Street Investors, HyperCube has rapidly grown to become a leading provider of toll-free origination services in the United States.  HyperCube’s unique network provides neutral interconnection services for all types of providers, including wireless, wireline, and voice over Internet protocol (VoIP).  Hypercube currently serves eight of the top ten largest wireless companies in the U.S.</p>
<p>“HyperCube’s network and technology coupled with West’s vast offerings will greatly enhance our ability to offer our customers cost-effective solutions to meet their growing demand for mobility and IP-based telephony,” said Ron Beaumont, Chief Executive Officer of HyperCube. “Our management team and employees are excited about the many opportunities resulting from this combination.”</p>
<p>HyperCube’s network solutions reduce complexity and costs for interconnecting customers by avoiding multiple direct connections to traditional networks.  The Company’s network of strategically located tandem switches provides toll free origination and other neutral interconnection services across the entire U.S.  In addition, HyperCube’s technology offers Web-based applications on a customer portal that displays real-time traffic analysis, a critical tool for customers seeking better visibility to manage and report on their communications traffic flows.</p>
<p>Terms of the transaction were not disclosed.  The acquisition is expected to close prior to the end of the first quarter of 2012 after satisfaction of certain closing conditions, including customary regulatory approvals.  After close, HyperCube plans to continue to offer its full portfolio of services to its existing clients, build relationships with other providers and continue its mission to provide seamless and cost-effective solutions for interconnection.</p>

“I am honored to be appointed for a second term to this important council and proud to be able to continue to make my contributions alongside an exceptional team of experts,” said HyperCube CTO, Doug Davis. “The CSRIC plays a crucial role in the development and security of America’s communications systems. By leveraging best practices in network interconnections and security, and by focusing on Next Generation 911 emergency services, <a href="http://transition.fcc.gov/pshs/advisory/csric/">CSRIC</a> will assist the <a href="http://www.fcc.gov/">FCC</a> in establishing policies that will help providers manage all types of network interconnections and interoperability as users’ needs and network capabilities evolve.&#8221;<br />
The <a href="http://transition.fcc.gov/pshs/advisory/csric/">CSRIC</a> is a Federal Advisory Committee that provides recommendations to the FCC regarding best practices and actions the Commission can take to ensure the security, reliability, and interoperability of communications systems.</p>
<p>The Council’s responsibilities include:<br />
•Advising the <a href="http://www.fcc.gov/">FCC</a> on ensuring the availability of communications capacity during natural disasters, terrorist attacks or other events that result in exceptional strain on communications infrastructure, and methods to ensure and facilitate the rapid restoration of communications services in the event of widespread or major disruptions.<br />
•Developing and recommending best practices and actions the FCC can take that promote reliable 9-1-1, E9-1-1, and Next Generation 9-1-1 (NG9-1-1) service.<br />
•Determining and making recommendations on whether and how NG9-1-1 can be extended to other N-1-1 services to ensure their reliability and cost-effective deployment.<br />
•Identifying and recommending to the <a href="http://www.fcc.gov/">FCC</a> a set of best practices to make communications networks, including broadband networks and VoIP systems, more secure, resilient, and defendable from Internet-based attacks.<br />
•Developing recommendations for actions the FCC could consider to promote the development of a broadband-based, next generation alerting systems that use advanced technologies and the Internet, including social media platforms, to distribute emergency alerts to the public.<br />
•Identifying and recommending to the FCC actions to improve the functioning of the national security/emergency preparedness priority services programs: Government Emergency Telecommunications Service; Telecommunications Service Priority; and Wireless Priority Service.</p>
<p>The FCC <a href="http://transition.fcc.gov/bureaus/pshs/advisory/csric3/List%20of%20CSRIC%20Members.pdf">appointed council members </a>from both the public and private sector, including representatives of Akamai Technologies, Amazon.com, AT&amp;T, CenturyLink, PayPal, T-Mobile USA, Telecommunications Industry Association, and Verizon Communications.</p>

			<content:encoded><![CDATA[<p>LONDON, United Kingdom and LANCASTER, Texas (August 11th, 2011) &#8211; BT, one of the world’s leading providers of communications solutions and services, and HyperCube LLC, a premier provider of local and national switching services to the competitive carrier marketplace, today announced a new partnership that will allow BT to connect customers to US telephone numbers using HyperCube’s interconnected Tandem Network.  Through this partnership, BT’s Global IP Exchange will provide wholesale customers in the UK and around the world with a cost-effective, IP end-to-end platform on which they can build their own enhanced service offerings for the consumer market.</p>
<p>Together, BT and HyperCube can more efficiently manage the transition from traditional voice services to VoIP-based calling.  With a combined offering, BT and HyperCube can ensure that calls are delivered end-to-end over IP based platforms, allowing service providers to avoid the cost burden of technology conversion.  For BT’s customers, this partnership will lower costs while enhancing voice quality and allow BT’s wholesale customers who are using the GLOBAL IP EXCHANGE to access IP voice services to reach in and out of the US.</p>
<p>“BT’s GLOBAL IP EXCHANGE platform is delivering on the IP end-to-end promise &#8211; a new capability to seamlessly import suppliers’ individual IP numbers to route calls to the end operator with confidence of no conversion to PSTN,” said Beatriz  Butsana-Sita, Managing Director BT Global Telecom Markets.  “This is achieved via ENUM-to-ENUM direct exchange between BT and HyperCube and demonstrates BT’s commitment to enhance its GLOBAL IP EXCHANGE services along its ambitious technology and capability roadmap.”</p>
<p>“BT has found a way to leverage IP technology and HyperCube’s innovative and highly efficient Tandem Service model to gain competitive advantage,” said Chris  Malinowski Senior Vice President of Sales for HyperCube. “With this new capability, service providers using BT’s GLOBAL IP EXCHANGE both in the UK and globally can now feel confident that their VoIP minutes are routed directly to the terminating network as an IP connection.  In addition to ensuring high call quality, the call records retain information required to provide caller identification, as well as IP based information.  This is particularly exciting because it will enable future services beyond voice to be offered to retail customers.”</p>
<p>BT and HyperCube will use a dedicated SIP connection set up to route calls received from BT’s GLOBAL IP EXCHANGE customers to US numbers.  HyperCube will publish the numbers for dedicated IP end points to BT, and BT’s Global IP Exchange platform will automatically send traffic to these numbers via HyperCube interconnections.  This arrangement avoids the requirement of manual routing changes and enables traffic management at a level of granularity not achievable through traditional number range routing approaches.</p>
<p>BT and HyperCube’s partnership represents a further step towards BT’s Global IP Exchange’s provision of interoperability between the next generation VoIP standard and traditional telephony.  This helps to make the change of infrastructure seamless and convenient for service providers, while offering users the benefit of advanced new technology.</p>

HyperCube has over one million telephone numbers available immediately as part of its domestic U.S. DID Origination offering. HyperCube has an expansive and growing network footprint across the country.</span></p>
<p><span style="color: #333300;">All communications carriers including VoIP providers and Applications Service Providers (ASPs) can provision new DIDs or port existing numbers to HyperCube. HyperCube also provides voice termination across the entire North American Numbering Plan (NANP) with aggressive rates. As part of the DID service, HyperCube offers a measured plan for low minute usage as well as a flat rate offer for high inbound traffic applications.</span></p>
